PINIT TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the PinIt platform, including the website, mobile applications, and related services (collectively, the “Platform”), operated by PinIt Now Inc. (“PinIt,” “we,” “us,” or “our”).

By creating an account, booking a service, or otherwise using the Platform, you agree to be bound by these Terms.

1. Definitions

  • “Platform” means the PinIt website, mobile applications, and related services.
  • “User” means any individual or entity that accesses or uses the Platform.
  • “Customer” means a User who books or receives services through the Platform.
  • “Provider” means an independent contractor who offers and performs services through the Platform.
  • “Booking” means a confirmed service request made through the Platform.
  • “Service” means the work performed by a Provider for a Customer.

2. Nature of the Platform

  • PinIt operates a technology-based marketplace that connects Customers with independent Providers.
  • Providers are independent contractors and are not employees, agents, or representatives of PinIt.
  • PinIt does not provide, perform, supervise, manage, or control the Services listed on the Platform.
  • All Services are supplied directly by Providers to Customers.
  • Any service agreement formed through the Platform is solely between the Customer and the Provider.
  • PinIt is not a party to service contracts between Customers and Providers.
  • Users release PinIt from any claims, damages, or disputes arising between Customers and Providers relating to Services performed through the Platform.
  • PinIt does not guarantee the quality, legality, safety, suitability, or outcome of any Service.
  • Any identity verification or screening conducted by PinIt is limited in scope and does not constitute an endorsement or guarantee.

3. Account Registration and Eligibility

  • Users must be at least 18 years of age.
  • Users must have legal capacity to enter binding agreements.
  • Users must provide accurate and current information.
  • Users must comply with applicable laws.
  • PinIt may suspend or terminate accounts at its discretion for violations of these Terms or risk-related concerns.
  • Any violation of these Terms, the Provider Agreement, or applicable laws may result in immediate suspension, restriction, or permanent termination of account access, at PinIt’s sole discretion.
  • PinIt reserves the right to suspend accounts, delay payouts, or place holds on transactions where fraud, risk, or suspicious activity is suspected.

4. Booking and Availability

  • Services may only be booked for time slots displayed as available on the Provider’s calendar within the Platform.
  • Availability is determined solely by the Provider and may change prior to booking confirmation.
  • A Booking is confirmed only after payment authorization is successfully processed through the designated payment processor.
  • PinIt does not guarantee Provider availability beyond the confirmed Booking time.
  • PinIt reserves the right to cancel or modify a Booking in the event of technical error, pricing error, or system malfunction

5. Payments

  • Payments are processed through a designated third-party payment processor.
  • PinIt does not collect, receive, or hold Customer funds in its own bank accounts.
  • The total price displayed at checkout is the amount charged to the Customer.
  • The Customer authorizes the designated payment processor to charge the selected payment method.
  • PinIt is not responsible for delays, errors, reversals, or chargebacks imposed by the payment processor or financial institutions.
  • In the event of obvious pricing or calculation errors, PinIt reserves the right to correct such errors and adjust or cancel the affected Booking.

6. Cancellations, Rescheduling, and No-Shows

  • A confirmed Booking may be cancelled prior to Service commencement.
  • Cancellation charges may apply depending on the timing of cancellation relative to the scheduled Service time.
  • If a Provider cancels a confirmed Booking without valid justification, the Customer may be entitled to a full refund.
  • Rescheduling and address changes may be permitted subject to approval of the other party.
  • A No-Show occurs when a party fails to attend or make themselves reasonably available at the scheduled Service time without prior cancellation through the Platform. No-show charges may apply.
  • Any monetary penalty applied in connection with cancellation or no-show shall not exceed CAD $100 per Booking.

7. Disputes

  • Customers and Providers have fourteen (14) calendar days from Service completion to communicate and attempt resolution of Service-related concerns directly through the Platform messaging system.
  • A Customer may request Platform review by opening a dispute within forty-eight (48) hours following Service completion.
  • Where a dispute is opened within forty-eight (48) hours, Users agree to cooperate in good faith and provide requested documentation or information.
  • PinIt may implement settlement adjustments, refunds, partial refunds, payout holds, or charge reversals where reasonably necessary to address fraud, risk, contractual breach, or dispute resolution.
  • Payment settlement may be delayed during investigation of a dispute, chargeback, or payment reversal.

8. Prohibited Conduct

  • Users shall not engage in fraud, harassment, discrimination, threats, unsafe conduct, or illegal activity.
  • Users shall not misuse the Platform or interfere with its operation.
  • Users shall not attempt to circumvent the Platform by arranging off-platform transactions for services initiated through PinIt.

9. Intellectual Property

  • PinIt retains all rights, title, and interest in the Platform, software, branding, and proprietary technology.
  • Users receive a limited, revocable license to use the Platform solely for its intended purpose.
  • Users grant PinIt a non-exclusive, royalty-free license to use, display, reproduce, and remove User-generated content for Platform operation, marketing, and compliance purposes.
  • PinIt reserves the right to remove or moderate User content at its discretion.

10. Disclaimer of Warranties

  • The Platform is provided on an “as is” and “as available” basis.
  • PinIt disclaims all warranties to the maximum extent permitted by law.
  • PinIt does not guarantee uninterrupted, secure, or error-free operation of the Platform.

11. Limitation of Liability

  • PinIt shall not be liable for indirect, incidental, special, punitive, or consequential damages.
  • PinIt’s total aggregate liability shall not exceed the total platform fees paid to PinIt in the twelve months preceding the claim.

12. Arbitration and Class Action Waiver

  • Any dispute arising from these Terms shall be resolved by binding arbitration in the Province of British Columbia, Canada.
  • Disputes shall be resolved on an individual basis only.
  • Users waive the right to participate in any class or representative action.
  • PinIt may seek injunctive relief in a court of competent jurisdiction where necessary.

13. General Legal Provisions

  • These Terms constitute the entire agreement between Users and PinIt regarding use of the Platform.
  • If any provision is found unenforceable, the remaining provisions remain in effect.
  • PinIt may update or modify these Terms upon notice, and continued use of the Platform constitutes acceptance of updated Terms.
  • These Terms are governed by the laws of the Province of British Columbia, Canada.
  • Electronic acceptance constitutes a legally binding agreement.
  • PinIt may modify, suspend, or discontinue any feature or part of the Platform at any time without liability.
  • Users may not assign or transfer their rights or obligations under these Terms without prior written consent from PinIt.
  • Provisions relating to liability, dispute resolution, intellectual property, and payment obligations survive termination of these Terms.
  • Use of the Platform is also governed by PinIt’s Privacy Policy.
